Standard Consulting Terms

  1. The Client is charged on an hourly basis unless other terms have been agreed upon in advance and in writing. Time is charged in quarter hour intervals at the given rate for the Consultant.
  2. The hourly rate is determined according to the grade of Consultant that performs the work. Charges to the Client are based on the individual work of each Consultant assigned the Client's project.
  3. Out of pocket expenses (e.g. travel, meals, hotel) and other costs incurred (e.g. fax, telephone, photocopies, etc.) are invoiced separately - no handling or additional charge will be added to the costs incurred. Alternatively, the Client may arrange to pay these directly to the third-party supplier or to immediately reimburse the Consultant upon production of receipts and justification of such expenses.
  4. Below are the minimum blocks of time accepted by BL Consulting Ltd for services outside our offices for a particular assignment. In the event that an assignment is shorter in duration than the minimum stated below, or involves international travel, BL Consulting Ltd will charge 50% of the consultant's "door to door" travel time at the consultant's standard rate for all international and local travel. The Client may qualify for non-charged local time by committing to blocks of consulting services as follows:
    • Within one and half- (1.5) hours of traveling time from our offices, a minimum booking of one full day (8 hours) will be required. 
    • Elsewhere, but within three and a half (3.5) hours of traveling time, a minimum booking of 3 days will be required.
    • For more remote locations where the travel time is in excess of three and a half (3.5) a minimum booking for 5 days (40 hours) will be required.
    • Travel costs and expenses will be recharged in accordance to our standard terms and conditions of service. 
    • In the event that the consultant has another engagement and is unable to fulfill the requested number consecutive days, then the above minimum booking times may be waived or altered at BL Consulting Ltd's sole discretion.
    • Car mileage costs will be calculated in accordance with the local office rate for travel outside the city boundaries of our offices and recharged in accordance with the Standard terms and conditions of service.
  5. Consultancy services are invoiced on a weekly or monthly basis and all invoices are payable within 14 (fourteen) days. Clients who require a detailed breakdown of each invoice should request this in advance of the project work and such request shall not affect the date on which payment is due. Consultant hourly rates as stated in the Standard Consulting rates schedule are exclusive of any Value Added Tax (VAT), taxes or any Governmental Surcharge. BL Consulting Ltd reserves the right to charge the client interest on late payments at a rate equal to 2 (two) times the local inter-bank's interest rate.
  6. In the event that the Client directly engages, employs or hires a Consultant hired by BL Consulting Ltd or member of staff of BL Consulting Ltd, the Client agrees to pay BL Consulting Ltd a "finder's fee" of 150,000 EUR, or the local currency equivalent, within 30 (thirty) days of such engagement, employment or hiring.
  7. The Client is at all times responsible for the proper functioning, administration, security of it's system, including the "backup" of data and software immediately prior to any work performed by BL Consulting Ltd. BL Consulting Ltd reserves the right to charge the Client to make "backup(s)" of the Client's system. BL Consulting Ltd will not guarantee the integrity of the resulting "backup" made of the Client's system. Further, BL Consulting Ltd declines all responsibilities for any direct or consequential damages that might arise as a result of the execution of its consulting services.
  8. For consulting services ordered but subsequently cancelled 5 business days before delivery, BL Consulting Ltd reserves the right to be compensated for 20% (twenty percent) of the requested services up to a maximum of 2,000 EUR. For those services cancelled less than 48 hours before delivery, BL Consulting Ltd reserves the right to be compensated for 50% (fifty percent) of the requested services up to a maximum of 2,500 EUR.
  9. BL Consulting Ltd reserves the right to charge the client for unproductive time if:
    • the Client has not fulfilled the documented requirements or agreed-upon preparations,
    • the Client can not ensure all reasonable access to the system, as required by the consultant to complete their tasks (i.e. passwords),
    • the person of authority is not available to approve decisions or actions, which may have a major impact on the system.
    • the inaccuracy of any input material.
    • the necessary client personnel are not available as planned
  10. In the event that any Consultant shall be specifically required by the Client to perform work at any time outside the hours of 9:00 a.m. and 6:00 p.m. Monday to Friday (excluding public holidays) the hourly charge rate for each any Consultant shall be so engaged shall be increased as follows:
    • by fifty percent (50%) for any time engaged on any day between Monday to Friday, but excluding public holidays
    • by one hundred percent (100%) for any time engaged on Saturday, Sunday or public holiday.
